IPAYAPP FINANCE LIMITED is referred to in these Terms as “iPay”, “we”, “us” or “our”. The individual or entity using the Services is referred to as “you” or the “User”.
1. Definitions and interpretation
1.1 “Account” means the payment account, balance account or other account profile opened or maintained for you through the Platform.
1.2 “Applicable Law” means all laws, regulations, regulatory requirements, court orders and binding rules that apply from time to time to iPay, you, the Platform, a Service or a relevant transaction.
1.3 “Authorised User” means an individual whom a business User has authorised to access or operate its Account, including through the Platform or an approved API.
1.4 “Business Day” means any day other than a Saturday, Sunday or public holiday in the place where the relevant iPay entity or service provider performs the affected Service.
1.5 “Fees” means fees, exchange margins, commissions, costs and other amounts payable for the Services, as disclosed on the Platform, in a fee schedule, in service-specific terms or before a transaction is confirmed.
1.6 “Platform” means the websites, applications, interfaces, application programming interfaces and other electronic channels made available by or on behalf of iPay.
1.7 “Prohibited Person” means a person whom iPay identifies as subject to a restriction under Applicable Law, applicable sanctions, iPay’s internal risk controls or the requirements of an involved financial institution, payment system or service provider.
1.8 “Services” means the fiat account, payment, transfer, foreign exchange, information and related services that iPay makes available from time to time, subject to eligibility and availability.
1.9 “Terms” means these Terms and Conditions, together with any fee information, service-specific conditions and policies expressly incorporated by reference.
1.10 Headings are for convenience only. “Including” and similar expressions are illustrative and do not limit the words that precede them. A reference to legislation includes amendments, subordinate legislation and replacement legislation. Singular words include the plural and vice versa where the context permits.
2. Scope, acceptance and electronic contracting
2.1 These Terms form a legally binding agreement between you and IPAYAPP FINANCE LIMITED concerning your use of the Platform and the Services.
2.2 You accept these Terms when you create or activate an Account, click an acceptance button, submit a transaction, access a Service or otherwise use the Platform. If you do not agree to these Terms, you must not use the Platform or the Services.
2.3 To the extent permitted by Applicable Law, electronic acceptance, authentication and communications have the same effect as their paper equivalents. You agree to receive agreements, notices, statements, policies and other communications electronically through the Platform, by email or by another contact method you provide.
2.4 Certain Services may be subject to additional or service-specific terms presented before use. If those terms conflict with these Terms, the service-specific terms prevail only for the affected Service and only to the extent of the conflict.
2.5 Nothing in these Terms requires iPay to make every Service available in every jurisdiction, currency or channel. Availability may depend on residence, business activity, verification status, transaction profile, operational capacity and risk considerations.
2.6 Nothing in these Terms excludes or restricts any right or remedy that cannot lawfully be excluded or restricted under Applicable Law.
3. Eligibility and Account registration
3.1 To open and use an Account, you must:
- be at least 18 years old and have legal capacity to enter into a binding agreement;
- be acting for yourself or have valid authority to act for the legal entity identified during registration;
- provide complete, accurate and current information and supporting documents;
- maintain a valid residential or business address, telephone number and email address;
- successfully complete all identity, business, ownership, security and risk checks required by iPay; and
- not be a Prohibited Person or located in a jurisdiction where the Services are unavailable or restricted.
3.2 You may hold only the number and type of Accounts that iPay permits. You must not create duplicate Accounts, provide false or misleading information, or open or operate an Account for an undisclosed third party.
3.3 A business User must ensure that each person who accesses its Account is an Authorised User. The business User is responsible for the acts and omissions of its Authorised Users as if they were its own and must promptly update iPay when an Authorised User is added, removed or has a change in authority.
3.4 You must promptly notify iPay of any material change to information previously provided, including your name, legal form, ownership, control, address, contact information, tax status, business activity, source of funds or expected account activity.
3.5 Opening an Account does not guarantee access to any particular Service, currency, payment route or transaction limit. iPay may accept or decline an application where permitted by Applicable Law and is not required to disclose confidential risk, fraud-prevention or compliance information.
4. Services and nature of the Account
4.1 Subject to eligibility, availability and any service-specific terms, iPay may allow you to:
- hold balances in supported official (fiat) currencies;
- send and receive funds through supported transfer methods;
- convert supported currencies at the rate disclosed before confirmation;
- view balances, transaction status and Account history; and
- use other fiat account and payment functions that iPay makes available through the Platform.
4.2 The current scope of Services, supported currencies, geographic coverage, cut-off times and operational requirements will be shown on the Platform or otherwise communicated to you.
4.3 iPay may add, change, restrict, suspend or discontinue a Service where reasonably necessary for legal, regulatory, security, technical, commercial, operational or risk reasons. Where practicable and lawful, iPay will give advance notice of a material change.
4.4 Unless expressly stated otherwise in service-specific terms, an Account is not a bank deposit account and no interest is payable on balances.
4.5 iPay may use banks, payment institutions, correspondent institutions, technology providers, verification providers and other third parties to deliver all or part of a Service. The availability and timing of a Service may therefore depend on those third parties and their rules.
5. Using your Account and transaction instructions
5.1 You must use the Account only for your own lawful purposes or, for a business Account, the lawful purposes of the registered business. You must not sell, transfer, rent or otherwise give another person control of the Account.
5.2 You are responsible for ensuring that each transaction instruction is complete and accurate, including the recipient’s name, account details, amount, currency, reference and any other information requested by iPay.
5.3 A transaction instruction is treated as received when it has been submitted through an approved channel and iPay has received sufficient information, completed any checks required before execution and has access to sufficient available funds. Instructions received after a cut-off time may be treated as received on the next Business Day.
5.4 By submitting a valid instruction, you authorise iPay to debit the Account for the transaction amount and any applicable Fee, adjustment, refund, reversal, tax, charge or other amount payable under these Terms.
5.5 You must not use the Account in a way that causes or is likely to cause an unauthorised negative balance. If a negative balance occurs, you must repay it immediately. Where permitted by Applicable Law, iPay may set off an amount you owe against funds held for you.
5.6 A transaction may become irrevocable once submitted to an external payment system, correspondent or recipient institution. A cancellation or amendment request is effective only if iPay confirms that it can be completed. Fees and third-party charges may apply.
5.7 Estimated processing or completion times are not guarantees. Delays may result from verification, compliance review, technical interruption, recipient institution procedures, currency conversion, public holidays, cut-off times or events outside iPay’s reasonable control.
5.8 You must not structure, split, layer or otherwise arrange transactions for the purpose of avoiding a limit, review, reporting obligation or other control.
6. Foreign exchange
6.1 If a transaction requires currency conversion, iPay will disclose the applicable exchange rate, exchange margin and relevant Fees before you confirm the transaction, unless a different disclosure method is permitted by Applicable Law.
6.2 Exchange rates may change at any time. The rate applicable to a transaction is the rate confirmed by iPay when the conversion is executed, unless iPay has expressly agreed to a fixed rate for a stated period.
6.3 If a transfer is returned, reversed or rejected after conversion, any reconversion may use the rate available at the time of reconversion. You bear the resulting exchange difference except to the extent Applicable Law requires otherwise or the return resulted from an error for which iPay is responsible.
6.4 If an exchange rate, quote or transaction is affected by a manifest error, iPay may, acting reasonably and to the extent permitted by Applicable Law, cancel, reverse or correct the affected entry or apply the rate that would reasonably have applied absent the error.
7. Fees, charges and taxes
7.1 You must pay the Fees disclosed on the Platform, in the applicable fee schedule, in service-specific terms or before transaction confirmation. Unless stated otherwise, a Fee becomes payable when the relevant Service is provided or the transaction is submitted.
7.2 Banks, correspondent institutions, payment systems or other third parties involved in a transfer may deduct or impose their own charges. Where iPay knows the amount in advance, iPay will disclose it where required by Applicable Law. iPay does not control charges imposed independently by third parties.
7.3 You are responsible for determining and paying taxes, duties and governmental charges arising from your use of the Services, except taxes imposed on iPay’s own income. iPay may withhold, deduct or report amounts where required by Applicable Law.
7.4 iPay may change Fees by giving any notice required by Applicable Law. A Fee change may take effect immediately where it reflects a change imposed by a third party, tax or legal requirement and immediate effect is permitted by Applicable Law.
8. Transaction limits, availability of funds and reserves
8.1 iPay may apply minimum or maximum transaction amounts, frequency limits, aggregate limits, velocity controls or other restrictions based on verification level, Account type, currency, location, transaction method, risk profile, service-provider requirements and regulatory obligations.
8.2 A limit shown on the Platform may change and does not oblige iPay to execute a transaction. A transaction within a displayed limit may still be subject to additional review, delay, rejection or restriction.
8.3 You may request a review of a limit. iPay may require updated financial information, evidence of source of funds or source of wealth, transaction purpose, expected activity and other supporting material before deciding the request.
8.4 Where permitted by Applicable Law, iPay may place a reasonable hold or reserve on funds, or delay their availability, where reasonably necessary to manage reversals, returns, disputes, fraud, negative balances, compliance exposure, legal claims or other identified risks. iPay will release the hold or reserve when the relevant basis no longer applies, subject to continuing legal obligations.
9. Security, access and Authorised Users
9.1 You and each Authorised User must keep login credentials, authentication codes, devices and security information confidential and secure, and must not permit any unauthorised person to access the Account.
9.2 You must use strong and unique passwords, maintain current device and security software, use secure communications and follow reasonable security instructions provided by iPay. iPay may require multi-factor authentication, device confirmation, transaction verification or other controls.
9.3 You must not disclose a password or authentication code to another person, permit remote access to a device while logged into the Account, or bypass or interfere with a security control.
9.4 A business User must maintain an accurate record of its Authorised Users and their access levels, implement appropriate internal controls and promptly revoke access when authority ends or changes.
9.5 You must notify iPay immediately if you suspect loss or compromise of credentials or a device, unauthorised access, impersonation, fraud, a mistaken transaction or another security incident. You must provide accurate information and cooperate with reasonable protective measures and investigations.
9.6 iPay may temporarily block access to the Account or a transaction while a security concern is investigated. iPay will restore access when reasonably satisfied that it is safe and lawful to do so.
9.7 iPay may request information and documents reasonably necessary to investigate or resolve a suspected security incident and may share relevant information with financial institutions, fraud-prevention providers, cybersecurity providers, law enforcement or other competent authorities where lawful and reasonably necessary.
10. Account information, records and errors
10.1 Account history and transaction information will be made available through the Platform or another agreed channel. You must review that information regularly and keep copies required for your own accounting, tax and legal purposes.
10.2 You must report an unauthorised, incorrect or incomplete transaction without undue delay and within any mandatory time limit under Applicable Law. Delay may affect the remedies available to you.
10.3 iPay may correct a manifest error in an account record and may reverse, cancel or adjust a duplicate, mistaken, invalid or improperly credited entry. Where reasonably practicable and lawful, iPay will notify you of a material correction.
10.4 Electronic records maintained by iPay are evidence of instructions, communications and transactions unless shown to be incorrect. This clause does not limit any mandatory evidential or consumer right under Applicable Law.
10.5 You are responsible for any separate arrangement or transaction you enter into with a third party in reliance on a payment or entry that is later lawfully reversed, cancelled or corrected by iPay.
11. Verification, KYC and financial crime controls
11.1 You must complete all customer identification, beneficial ownership, business verification, sanctions screening and other due diligence required by iPay before and during the relationship.
11.2 iPay may request information about identity, residence, tax status, business activities, ownership and control, source of funds, source of wealth, transaction purpose, recipients and expected account activity. You must respond promptly and provide genuine, complete and current documents and information.
11.3 iPay may use specialist service providers and reliable databases to verify information, assess risk and monitor transactions. Information may be checked against official registers, sanctions lists, fraud databases and other lawful sources.
11.4 iPay may carry out periodic, event-driven or transaction-specific reviews and may require re-verification before opening, restoring or continuing an Account or Service.
11.5 iPay may delay, refuse, block, reverse where legally permitted, or report a transaction; restrict an Account; or request additional information where reasonably necessary to comply with Applicable Law, a competent-authority request, service-provider requirements or iPay’s risk controls.
11.6 iPay may be prohibited from explaining a compliance review, report, restriction or disclosure. iPay is not required to disclose confidential methods, third-party information or any matter whose disclosure would be unlawful or would prejudice an investigation or security control.
11.7 You must not use the Services for money laundering, terrorist financing, proliferation financing, sanctions evasion, fraud, bribery, corruption, tax evasion, trafficking, exploitation or any other unlawful purpose.
12. Prohibited use, Restricted Jurisdictions and sanctions
12.1 You must not use the Platform or the Services to:
- breach Applicable Law or another person’s legal rights;
- provide false information, impersonate another person or conceal beneficial ownership or control;
- conduct fraud, deceptive activity, unauthorised transactions or unlawful fundraising;
- circumvent a limit, restriction, security control, monitoring rule or compliance review;
- send or receive funds for goods or services that are unlawful or prohibited by iPay’s published policies;
- interfere with the Platform, introduce malicious code, scrape restricted data or test vulnerabilities without written permission;
- use another person’s Account or permit another person to use yours without iPay’s approval; or
- cause material harm to iPay, its service providers, other Users or the integrity or security of a payment system.
12.2 iPay may publish or provide additional acceptable-use restrictions. You must comply with the version that applies when you use the relevant Service.
12.3 As an internal eligibility and risk policy, iPay does not provide the Services to a person or entity that is incorporated, organised, located, ordinarily resident or established in, or acting from, any of the following jurisdictions or territories: the Democratic People’s Republic of Korea, the Islamic Republic of Iran, the Republic of Cuba, the Syrian Arab Republic, Myanmar, Sevastopol, the Crimea Region of Ukraine, the Donetsk and Luhansk regions of Ukraine, Russia, Belarus, the People’s Republic of China (Mainland), the Federal Democratic Republic of Nepal, the People’s Democratic Republic of Algeria, the Kingdom of Morocco, Nigeria, the Plurinational State of Bolivia, and Afghanistan.
12.4 iPay may amend its list of Restricted Jurisdictions from time to time to reflect Applicable Law, sanctions requirements, financial crime risk, service-provider requirements or iPay’s internal risk appetite.
12.5 The Services must not be used by, for the benefit of, or in connection with a person or entity that is designated, blocked, debarred or otherwise subject to restrictive measures under any sanctions, asset-freeze, terrorist, debarment or restricted-person list applicable to iPay, the User or the relevant transaction, including applicable lists maintained by the Government of Canada, the United Nations Security Council, the United States Department of the Treasury, the United States Department of Commerce and the United States Department of State.
12.6 iPay may refuse, delay, block, restrict, suspend or terminate any Account or transaction involving a Prohibited Person, a Restricted Jurisdiction or a sanctions concern, to the extent permitted or required by Applicable Law.
13. Refusal, suspension and termination
13.1 iPay may refuse to open an Account, reject or delay a transaction, restrict a Service, suspend access or terminate the agreement where reasonably necessary because:
- you breach these Terms or Applicable Law;
- required information is missing, inaccurate, expired, inconsistent or misleading;
- iPay reasonably suspects fraud, unlawful activity, unauthorised use or a security incident;
- you are or may be a Prohibited Person or are connected to a Restricted Jurisdiction;
- the Account presents legal, regulatory, operational, financial, fraud, credit or reputational risk that iPay cannot reasonably manage;
- you fail to pay an amount due or the Account has an unauthorised negative balance;
- a competent authority, court, financial institution, service provider or payment system requires or requests the action;
- a relevant Service or payment route is discontinued or becomes unavailable; or
- iPay is otherwise entitled or required to act under Applicable Law.
13.2 iPay will provide notice and, where appropriate, reasons where reasonably practicable and lawful. Notice may be delayed, limited or omitted where disclosure would compromise security, breach Applicable Law, reveal confidential risk controls or prejudice an investigation.
13.3 You may close the Account by following the process on the Platform or contacting iPay. Closure is subject to completion of pending transactions, payment of amounts due, resolution of restrictions and any record-retention or other legal obligations.
13.4 After closure or termination, iPay will return remaining funds to a verified account in your name or by another lawful method, after deducting amounts properly due and subject to any lawful hold, reserve, freeze, investigation or other restriction.
13.5 If iPay receives notice of a User’s death, incapacity, insolvency, dissolution or similar event, iPay may restrict the Account until it receives evidence and instructions that it reasonably considers sufficient to determine who is lawfully entitled to act or receive funds.
13.6 Clauses concerning Fees, taxes, records, confidentiality, intellectual property, liability, indemnity, governing law, disputes and any rights that by their nature should survive will continue after closure or termination.
14. Data protection and confidentiality
14.1 iPay processes personal data to provide and secure the Services, verify Users, prevent financial crime and fraud, meet legal obligations, communicate with you and operate its business. Further information will be set out in the Privacy Policy available at: ipayappfinance.com/privacy-policy.
14.2 You must ensure that any personal data you provide about another person has been collected and shared lawfully and that the person has received any privacy information required by Applicable Law.
14.3 iPay may disclose information to affiliates, service providers, financial institutions, professional advisers, insurers, auditors, credit or fraud-prevention agencies, competent authorities and other persons where necessary for the Services or permitted or required by Applicable Law.
14.4 You must keep non-public information about iPay’s systems, security measures, pricing arrangements and compliance requests confidential, except where disclosure is required by law or made to a professional adviser who owes a duty of confidentiality.
14.5 Nothing in these Terms requires iPay to disclose information where disclosure would be unlawful, breach confidentiality owed to another person, reveal security or fraud-prevention methods, or prejudice a regulatory, compliance or law-enforcement process.
15. Intellectual property and use of the Platform
15.1 iPay and its licensors retain all rights in the Platform, software, databases, designs, text, graphics, trade names, logos and other materials made available through the Services, including all associated intellectual property rights.
15.2 While your Account remains active, iPay grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable right to use the Platform solely for the permitted Services and in accordance with these Terms.
15.3 You must not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, scrape or commercially exploit any part of the Platform, except to the extent a restriction is prohibited by Applicable Law or iPay has given prior written permission.
15.4 If you provide feedback or suggestions, iPay may use them without restriction or payment, but you retain ownership of any pre-existing intellectual property contained in them.
16. Availability, third parties and events outside iPay’s control
16.1 iPay aims to keep the Platform available but does not guarantee uninterrupted, continuous or error-free operation. Maintenance, upgrades, telecommunications failures, external systems, cyber incidents and other events may affect availability.
16.2 The Platform may contain links to third-party sites or services. iPay does not control and is not responsible for third-party content, availability, terms or conduct. Your use of a third-party service is governed by your agreement with that provider.
16.3 iPay is not responsible for delay or failure caused by events beyond its reasonable control, including acts of government, court or regulatory authority, sanctions or legal restrictions, payment-system disruption, bank or correspondent failure, telecommunications or internet outage, cyberattack, power failure, labour dispute, natural disaster, epidemic, war, civil unrest or similar events, provided that this clause does not exclude liability that cannot lawfully be excluded.
16.4 iPay may take reasonable steps to protect the Platform, Users, service providers and payment systems, including maintenance, emergency changes, rate limiting, blocking or temporary suspension.
17. Warranties, disclaimers and professional advice
17.1 The Platform and Services are provided on an “as available” basis. To the maximum extent permitted by Applicable Law, iPay excludes warranties and conditions that are not expressly stated in these Terms, including implied warranties of uninterrupted availability, fitness for a particular purpose and non-infringement.
17.2 iPay does not warrant that the Platform will be free from all errors, vulnerabilities, interruptions or harmful components, but this does not limit any obligation that iPay cannot lawfully exclude.
17.3 iPay does not provide investment, legal, tax or accounting advice. Information made available through the Platform is general information and is not a recommendation tailored to your circumstances. You should obtain independent professional advice where appropriate.
17.4 You are responsible for determining whether a Service and any transaction are suitable for your own legal, tax, regulatory, commercial and financial circumstances.
18. Liability
18.1 Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by Applicable Law, including liability for fraud, fraudulent misrepresentation, wilful misconduct or any other liability that cannot lawfully be excluded or limited.
18.2 Subject to clause 18.1, iPay is not liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data, arising from or connected with the Platform or Services, whether in contract, tort (including negligence), statute or otherwise, to the extent such loss may lawfully be excluded.
18.3 Subject to clause 18.1, iPay is not responsible for loss caused by inaccurate or incomplete instructions, your breach of these Terms, unauthorised access resulting from your failure to protect credentials, a third-party payment or banking provider, legal or regulatory action, a currency conversion following a returned or reversed transfer, or an event outside iPay’s reasonable control, except to the extent the loss was caused by iPay’s own breach or negligence and cannot lawfully be excluded.
18.4 iPay is not responsible for the underlying goods, services or obligations to which a payment relates, or for a dispute between you and a recipient, payer, merchant or other third party, except where iPay has separately agreed in writing to provide a dispute-resolution or protection service.
18.5 You must take reasonable steps to mitigate any loss that you claim arises from the Platform or a Service.
19. Indemnity for business Users
19.1 To the extent permitted by Applicable Law, a business User will indemnify iPay against reasonable losses, claims, liabilities, costs and expenses arising directly from the business User’s material breach of these Terms, unlawful use of the Services, unauthorised acts of its Authorised Users, or infringement of a third party’s rights.
19.2 The indemnity does not apply to the extent a loss was caused by iPay’s own breach, negligence, fraud or wilful misconduct. iPay will take reasonable steps to mitigate recoverable loss.
20. Changes to these Terms
20.1 iPay may amend these Terms to reflect changes in Applicable Law, regulatory requirements, the Services, technology, security, costs, service-provider requirements or business operations.
20.2 iPay will give any notice required by Applicable Law before a material change takes effect. A change may take effect immediately where reasonably necessary to comply with law, address an urgent security or fraud risk, reflect an immediate third-party requirement, correct an obvious error or introduce a change that does not materially disadvantage you.
20.3 If you do not agree with a change, you may stop using the Services and close the Account before the change takes effect. Continued use after the effective date constitutes acceptance only to the extent permitted by Applicable Law.
21. Complaints
21.1 If you are dissatisfied with a Service, contact iPay and provide your name, Account details, a clear description of the issue, relevant dates and the resolution you seek.
21.2 Complaints email: [email protected]
21.3 iPay will investigate complaints fairly and respond within the period required by Applicable Law. Nothing in these Terms prevents you from exercising any right to complain to a regulator, ombudsman, court or other competent body where such right applies.
22. Notices and communications
22.1 iPay may communicate with you through the Platform, by email, by telephone or by another contact method you have provided. You must keep your contact information current and review communications regularly.
22.2 A communication is treated as received when made available on the Platform or sent to your most recent contact details, subject to any mandatory rule under Applicable Law.
22.3 If Applicable Law requires a communication to be delivered in a particular form or within a particular period, that requirement prevails over this section.
23. Governing law and disputes
23.1 These Terms and any non-contractual obligations arising from or in connection with them are governed by the federal laws of Canada and the laws of the Province of Alberta applicable therein, without regard to conflict-of-laws principles.
23.2 Subject to any mandatory right to bring a claim elsewhere, the courts of the Province of Alberta sitting in Calgary, Alberta, Canada have exclusive jurisdiction to settle any dispute, claim or controversy arising out of or in connection with these Terms, the Platform or the Services.
23.3 Nothing in this section prevents iPay from seeking urgent interim, protective or injunctive relief in any court of competent jurisdiction where reasonably necessary to protect confidential information, intellectual property, funds, systems or legal rights.
24. General provisions
24.1 Entire agreement. These Terms and any incorporated service-specific terms constitute the entire agreement concerning the Services and replace earlier understandings on the same subject, except in relation to fraud or fraudulent misrepresentation.
24.2 Assignment. You may not assign or transfer your rights or obligations under these Terms without iPay’s prior written consent. iPay may assign or transfer its rights or obligations to an affiliate, successor or purchaser of all or a material part of the relevant business, subject to Applicable Law.
24.3 Severability. If a provision is unlawful, invalid or unenforceable, it will be limited or removed only to the minimum extent necessary. The remaining provisions will continue in effect.
24.4 Waiver. A delay or failure to exercise or enforce a right is not a waiver. A waiver is effective only if made expressly and applies only to the specific circumstances for which it is given.
24.5 No partnership or agency. Except where iPay expressly states otherwise for a particular Service, nothing in these Terms creates a partnership, joint venture, fiduciary relationship or agency between you and iPay.
24.6 Third-party rights. No person other than you, iPay and any person expressly identified in service-specific terms has a right to enforce these Terms, except where Applicable Law provides otherwise.
24.7 Cumulative rights. Rights and remedies under these Terms are cumulative and do not exclude rights or remedies provided by Applicable Law.
